These Terms and Conditions constitute a legally binding agreement between you ("User" or "You") and Morgan Michelle ("Company," "We," "Us"). Your use of our website and purchase of our programs constitutes your agreement to all such Terms.
1. OWNERSHIP AND INTELLECTUAL PROPERTY
Ownership: All curriculum, videos, proprietary frameworks, and original templates are the sole property of Morgan Michelle.
Limited Commercial License: Upon purchase, you are granted a non-exclusive, non-transferable license to use our templates, interactive documents, and methods for your own internal business operations. This includes using these tools to facilitate your own sales, client workflows, and marketing.
Prohibited Redistribution: While you may use these tools to run your business, you may not resell, rebrand, or distribute the templates themselves as a standalone product or as part of any other educational program.
No "Derivative" Works or "Passing Off": You are strictly prohibited from taking our Methods, rebranding them, or slightly altering ("tweaking") our processes to claim them as your own unique creation for commercial sale. You may not create or sell new products based on these frameworks.
Attribution: If you share the core philosophy of what you’ve learned in a public setting (social media, podcasts, etc.), you agree to provide clear credit to Morgan Michelle as the original source.
Streaming Access: Video content is for streaming access only within our hosted platforms (Skool/Kajabi) and may not be downloaded or shared with third parties.
2. PAYMENTS, SUBSCRIPTIONS & ACCESS
Payment Plans: You are responsible for all payments in a selected payment plan.
Failed Payments: If a payment is unrecoverable after retries, your access to programs and paid communities (Skool, Kajabi, etc.) will be revoked immediately.
Refund Policy: All sales are final upon digital delivery. No refunds are provided for educational services once access is granted.
Chargebacks: You agree to contact hello@themorganmichelle.com to resolve issues before filing a chargeback. Unauthorized chargebacks will result in the immediate forfeiture of all program access and bonuses.
3. SMS SERVICES
Consent: By opting into SMS, you agree to receive up to 10 messages per week. Message and data rates may apply.
Opt-Out: Reply "STOP" to any message to unsubscribe at any time.
4. EARNINGS & RESULTS DISCLAIMER
No Guarantees: We share methods developed and utilized successfully by Morgan Michelle. However, individual outcomes vary, and we cannot guarantee specific financial results or business success.

5. LIABILITY & INDEMNIFICATION
"As Is" Basis: All products and services are provided "as is" without warranty of any kind.
Limitation of Liability: To the maximum extent permitted by Texas law, Morgan Michelle shall not be liable for any direct, indirect, or consequential damages arising from your use of the Site.
Indemnification: You agree to indemnify and hold harmless Morgan Michelle from any losses or expenses (including attorney's fees) arising out of your violation of these terms.
6. DISPUTE RESOLUTION (ARBITRATION & CLASS ACTION WAIVER)
Binding Arbitration: Disputes shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA).
Class Action Waiver: You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any representative proceeding.
7. GOVERNING LAW & JURISDICTION
Venue: This agreement is governed by the laws of the State of Texas. You hereby consent to the exclusive jurisdiction and venue of courts in Tarrant County, Texas, for all disputes arising out of or relating to the use of the Site.
